Capitol, Suite 700, Little Rock, Arkansas 72201, a Little Rock Corporation, hereinafter referred to as Aristotle, and the Client. This Agreement is governed by the Terms and Conditions set forth below. Terms and Conditions 1. Scope of Work. Aristotle will install on the Tour Arkansas site the selected Advertising Package described previously (the "Advertising"). For this service, Client will pay Aristotle the sum set forth in the package description. 2. Payment. Payment for the first month of Advertising is due upon signing of this Agreement. The Advertising will not be posted to the Tour Arkansas website until initial payment is received. Subsequent payment is due on the first of the following month. Payments received more than 15 days after the first of the month shall be deemed past due. If Client's payment becomes more than 30 days past due, Aristotle reserves the right in its sole discretion to remove the Client's Advertising and to terminate this contract immediately. Termination of this contract will not absolve Client of payment of any monies due Aristotle. 3. Termination. Client may terminate this Agreement at any time upon 30-days written notice. Client will be responsible to pay Aristotle any fees incurred during the 30-day period between notice and termination. 4. Representations and Warranties of Client. Client is solely responsible for any and all liability, loss, cost, claim or expense arising out of or relating to Client's Advertising. In this regard, Client warrants and represents that (a) Client owns and/or has the right and authority to permit the use, reproduction, distribution, and transmission of the Advertising by Aristotle; (b) the Advertising and any content and/or services linked to the Advertising are factually accurate and do not contain any fraudulent or deceptive materials, or material which misrepresents, ridicules or attacks and individual or group on the basis of age, color, national origin, race, religion, sex, sexual orientation, or handicap; (c) the Advertising does not promote or make claims that are not easily provable, nor does it falsify the product or message being communicated; and (d) the use, reproduction, distribution, or transmission of the Advertising will not, and the Client Advertising content does not, violate any foreign or domestic, federal, state, or local law or regulation, or any rights of any third party, including but not limited to, any copyright, patent, trademark, trade secret, or other proprietary or property right, or constitute false advertising, unfair competition, defamation, invasion of privacy or rights of celebrity, or any other right of any person or entity. 5. Indemnity. Client agrees to indemnify Aristotle and its affiliates and to hold Aristotle and its affiliates harmless from and against any and all liability, loss, damage, claim, and expense, including reasonable legal fees and expenses that may be incurred by Aristotle and/or its affiliates, arising out of or related to Client's breach of, or the untruth of, any of the foregoing representations and warranties or of any obligation hereunder to be performed by Client. 6. Positioning. Except as otherwise provided in the package description, the manner and location of the Advertising within the Tour Arkansas property is at the sole discretion of Aristotle. Aristotle reserves the right to reject or remove any materials from Tour Arkansas at any time, regardless of any prior acceptance, display, or transmission of such materials. Aristotle reserves the right to modify the organization, structure, specifications, look and feel, navigation, guidelines, and other elements of Tour Arkansas, including those on which a the Advertising is displayed or delivered, in its sole discretion at any time. 7. Licenses. Client hereby grants to Aristotle (a) a worldwide, non-exclusive, royalty-free license to use, reproduce, and display the Advertising in connection with the marketing and promotion of Tour Arkansas, subject to reasonable quality control standards and (b) the right to use excerpts from the Advertising, including still images and likenesses, for general business purposes and for promotion of Tour Arkansas. 8. Right of Rejection. Aristotle reserves the right to reject any advertising which is not consistent with Aristotle standards. Additionally, Aristotle shall have the right at any time to remove the Advertising from Tour Arkansas if Aristotle determines, in its sole discretion, that the Advertising or any portion thereof (a) violates Tour Arkansas' advertising policy or (b) is otherwise objectionable to Aristotle. 9. No Assignment. Client may not resell, assign, or transfer any of its rights or obligations hereunder, and any attempt to resell, assign, or transfer such rights or obligations without Aristotle's prior written approval shall be null and void and a material breach of this Agreement. Notwithstanding the foregoing, either party may assign this Agreement to an entity who acquires substantially all of the stock or assets of such party; provided that written consent will be required in the event that the non-assigning party reasonable determines that the assignee will not have sufficient capitol or assets to perform its obligations hereunder, or that the assignee is a competitor of the non-assigning party. All Terms and Conditions of this Agreement will be binding upon and inure to the benefit of the parties hereto and their respective permitted transferees, successors, and assigns. 10. Make Good. In the event that Aristotle fails to post the Advertising in accordance with this Agreement in the case of any other failure, technical or otherwise, that causes such Advertising not to appear as provided in the Agreement, Aristotle will use commercially reasonable efforts to post the Advertising to the Tour Arkansas website as soon as possible and will, at Aristotle's discretion, either reimburse Client for the pro rata share of fees paid for the time the Advertising was not displayed or will extend the time of display of the Advertising. 11. Warranties and Exclusions. It is expressly understood by the parties hereto that: a) Aristotle exercises no control whatsoever over the content of information passing through it. b) Aristotle makes no representations any kind, and hereby expressly disclaims all warranties express or implied, regarding Aristotle's services whether expressed or implied, for the service it provides or any portion thereof, including any implied warranty of merchantability or fitness for a particular purpose and implied warranties arising from course of dealing or course of performance. Without limited the generality of the foregoing, Aristotle specifically disclaims any warranty regarding (a) the number of persons who access the Advertising and (b) any benefit advertiser might obtain from including the Advertising on Tour Arkansas. c) Aristotle will not be liable for indirect, incidental, consequential, special or exemplary damages, even if such damages are foreseeable, and whether or not Aristotle has been advised of the possibility of such damages, arising from any aspect of the advertising relationship provided for herein. Aristotle shall in no event be liable for any damages, direct or otherwise, in any amount greater than the total amount paid to Aristotle by Client pursuant to this Agreement. d) Aristotle specifically denies any responsibility for the accuracy or quality of information disseminated from Client's Website. Client agrees to indemnify Aristotle for any liability arising from content or use of Client's Website. 12. Miscellaneous. a) This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof. No oral promises or representations in connection herewith shall be binding upon either party, nor shall this Agreement be modified in any manner except by amendment in writing executed by the parties hereto. b) This Agreement shall be governed by and construed in accordance with the laws of the State of Arkansas and an disputes pertaining to this Agreement shall be brought in a State or Federal court located in Pulaski County, Arkansas, without regard to conflict of laws principals. c) Neither party's failure, at any time, to enforce any right or remedy available to it under this Agreement shall be construed to be a waiver of such party's right to enforce each and every provision of this Agreement in the future.
